Conduits Terms of Service

Conduits™ is an online service owned and operated by Net Assets in association with the City of Ocoee. For the purposes of this agreement, Conduits™ consists of all the Web pages, design, layout, and data produced by the system.

Please read these Terms of Use carefully before using Conduits™. By clicking ACCEPT below you agree to be bound by these Terms of Use. You may be required to accept these terms again as they are amended from time to time. Net Assets Corporation and the City of Ocoee reserve the right to change these Terms of Use, in whole or in part, and at any time with or without notice.

Privacy

No personally identifiable information submitted by you will be kept by the Conduits™ system. An Internet, or IP, address will be recorded with every search that takes place. This IP address may or may not uniquely identify the computer that was used to perform the search.

All Web site design, text and graphics, and the selection and arrangement of such elements is Copyright © 2004 Net Assets Corporation and the City of Ocoee. ALL RIGHTS RESERVED. Except as stated herein, none of the material may be copied, reproduced, distributed, republished, downloaded, displayed, posted or transmitted in any form or by any means including, but not limited to, electronic, mechanical, photocopying, recording or otherwise, without the prior written permission of Net Assets Corporation and the City of Ocoee.

You are hereby granted permission to the extent necessary in order to lawfully access and use the services available on Conduits™ to display, download, archive and to print in hard copy, portions of the Conduits™ Web pages for use in generating a title policy and for the evaluation of financial eligibility, provided you do not modify the materials, and that you retain all copyright and other proprietary notices contained in the materials. You may not, without the prior written permission of Net Assets and the City of Ocoee, frame or mirror, copy, modify, use or distribute any material contained on this Web site on any other server. You may not resell any material produced by Conduits™.

Conduits™, the Net Assets logo, all page headers, custom graphics and button icons are service marks, trademarks and/or trade dress of Net Assets Corporation. There may appear other trademarks, product names, company names, logos, service marks, and/or trade dress indicated on Conduits™ that are the property of their respective owners.

Validity of Data

Any data presented during the course of using Conduits™ that represents the City of Ocoee's interest in real property ("Interest"), including the existence of any Interest, serves as constructive notice and will be kept reasonably current and is subject to standard operating procedures used by the city in managing such Interests. If the validity of an Interest or lack of Interest is in question, please contact the city offices directly for verification.

Obligations

As part of using Conduits™, you will receive a password and account designation. You are responsible for maintaining the confidentiality of the password and account, and are fully responsible for all activities that occur under your password or account, including any charges that may accrue. You agree to (a) immediately notify Net Assets Corporation or the City of Ocoee of any unauthorized use of your password or account or any other breach of security, and (b) ensure that you exit from your account at the end of each session. Net Assets and the City of Ocoee cannot and will not be liable for any loss or damage arising from your failure to comply with this paragraph.

Rights

The City of Ocoee and Net Assets Corporation reserves the right to disable or otherwise make an organization's account or accounts unusable in the case of misuse, abuse, failure to make timely payment for use, or other violations of this agreement.

Net Assets Corporation and the City of Ocoee reserve the right from time to time to interrupt the use of Conduits™ with or without notice, provided this is done outside of normal business hours for the purposes of making fixes, alterations, improvements, or performing other acts of maintenance or testing.

Limited Warranty

NET ASSETS WARRANTS THAT IT HAS ALL APPLICABLE RIGHTS TO CONDUITS™ AND THAT IT HAS AUTHORITY TO GRANT YOU ACCESS TO THIS WEB SITE AND THE CONTENT PROVIDED HEREIN. EXCEPT AS OTHERWISE EXPRESSLY WARRANTED HEREIN, NET ASSETS' PRODUCTS AND SERVICES, INCLUDING ACCESS TO THIS WEBSITE, ARE PROVIDED "AS IS," AND YOU AGREE THAT THE FOREGOING LIMITED WARRANTY IS IN LIEU OF ALL OTHER WARRANTIES OF NET ASSETS AND NET ASSETS DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS OR ADEQUACY FOR ANY PARTICULAR PURPOSE OR USE, QUALITY, PRODUCTIVENESS OR CAPACITY, THAT THE OPERATION OF THE WEBSITE OR THE CONTENTS THEREOF WILL BE ERROR-FREE OR ACCESSIBLE AT ALL TIMES, OR THAT DATA OR RESULTS OF ACCESS AND USE WILL BE FREE FROM CORRUPTION OR LOSS. NO ACTION AGAINST NET ASSETS FOR BREACH OF THIS LIMITED WARRANTY MAY BE COMMENCED MORE THAN 60 DAYS AFTER YOU HAVE ACCESSED THIS WEB SITE.

Limitation of Liability

TO THE FULLEST EXTENT ALLOWED BY APPLICABLE LAW NOTWITHSTANDING ANYTHING IN THIS AGREEMENT TO THE CONTRARY OR ANY FAILURE OF ESSENTIAL PURPOSE OF ANY LIMITED REMEDY OR LIMITATION OF LIABILITY, IN NO EVENT SHALL NET ASSETS (NOR ITS DIRECTORS, OFFICERS, EMPLOYEES, OR OTHER REPRESENTATIVES) BE LIABLE FOR ANY LOSS OF USE OR DATA, ANY DISPLAY OR TRANSMISSION OF INACCURATE OR INCOMPLETE DATA, OR FOR INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES OF ANY KIND OR OTHER ECONOMIC LOSS ARISING FROM OR RELATING TO YOUR ACCESS AND USE OF THIS WEBSITE, EVEN IF NET ASSETS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, HOWEVER CAUSED.
